Gable Systems Terms of Service

1. Agreement

These Terms of Service ("Terms") constitute a binding agreement between your organization ("Customer") and Waypoint Systems LLC, a Tennessee limited liability company operating Gable Systems ("Gable," "we," "us"). By creating an account or using the Service, you represent that you have authority to bind your organization to these Terms.

2. The Service

Gable provides a white-label AI assistant platform that allows organizations to upload documents and deploy a branded AI assistant for internal and customer-facing use. The Service is provided on a subscription basis.

3. Eligibility

The Service is available to businesses and organizations only. You must be at least 18 years of age and have authority to enter into contracts on behalf of your organization to use the Service.

4. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use at privacy@gablesystems.ai.

5. Free Trial

New customers receive a 10-day free trial beginning when their assistant is first deployed ("Go Live"). A valid payment method is required to activate the trial. If you do not cancel before the trial period ends, your payment method will be charged automatically at the applicable subscription rate.

6. Subscription and Payment

Subscriptions are billed monthly in advance. All fees are in US dollars. Payment is processed by Stripe. You authorize us to charge your payment method on a recurring basis until you cancel. Prices may change with 30 days advance notice.

7. Refund Policy

All subscription fees are non-refundable. You may cancel your subscription at any time, and cancellation will take effect immediately — you will not be charged for future billing periods. No partial or pro-rated refunds are issued for unused portions of a billing period.

8. Cancellation and Data Deletion

You may cancel your subscription at any time from your dashboard. Upon cancellation confirmation, all of your organization's documents, embeddings, and knowledge base data are permanently and immediately deleted from our systems. This deletion is irreversible. We strongly recommend exporting your data before cancelling using the export feature in your dashboard.

9. Customer Data and Documents

9.1 You retain all ownership rights to documents you upload. You grant Gable a limited license to process your documents solely to provide the Service. We do not claim ownership of your content, sell it, or use it to train AI models.

9.2 Marketing Reference. By using the Service, Customer grants Waypoint Systems LLC a limited, non-exclusive, royalty-free right to identify Customer as a Gable Systems customer and to display Customer's name and logo on gablesystems.ai and in marketing materials solely for the purpose of identifying Customer as a user of the Service. Customer may revoke this permission at any time by written notice to privacy@gablesystems.ai, after which we will remove Customer's name and logo within 30 days.

10. Acceptable Use

You agree not to:

• Upload content that violates any law or third-party rights
• Attempt to reverse engineer or circumvent the Service
• Use the Service to store or transmit malicious code
• Resell or sublicense the Service without written permission
• Upload content that infringes intellectual property rights

11. Service Availability

We strive for high availability but do not guarantee uninterrupted access. We are not liable for downtime, data loss, or service interruptions beyond our reasonable control.

12. Intellectual Property

Gable Systems, its software, design, and branding are owned by Waypoint Systems LLC. Nothing in these Terms transfers ownership of our intellectual property to you.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WAYPOINT SYSTEMS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE THREE MONTHS PRECEDING THE CLAIM.

15. Dispute Resolution and Arbitration

Any dispute arising from these Terms or the Service shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in Tennessee. You waive any right to participate in a class action lawsuit or class-wide arbitration. Nothing prevents either party from seeking injunctive relief in court for intellectual property violations.

16. Governing Law

These Terms are governed by the laws of the State of Tennessee, without regard to conflict of law principles.

17. Changes to Terms

We may update these Terms with 30 days notice. Continued use of the Service after notice constitutes acceptance of the updated Terms.
